Terms of Use

CosmosFX.ai — Understand Your Rights and Obligations

Please read these Terms of Use carefully before using the CosmosFX.ai Platform.

1. Binding Agreement

These Terms of Use are a legally binding agreement between CosmosFX.ai and you. The term "CosmosFX.ai," "us," "we," or "our" refers to CosmosFX.ai, which owns and operates the CosmosFX.ai Platform (as defined below). The term "you" refers to the User (as defined below). You represent that you are a natural person over the age of 18.

These Terms of Use govern your access to the CosmosFX.ai Platform, the functions contained therein, and the Services performed or provided by CosmosFX.ai, including any and all Content uploaded to or generated by the Platform.

These Terms of Use are void where prohibited by law, and the right to use the CosmosFX.ai Platform is revoked in such jurisdictions.

2. Accepting These Terms of Use

These Terms of Use are effective as of the date you access or use the CosmosFX.ai Platform, and such access or use constitutes your acceptance of all terms and conditions herein.

You may not use the Platform if (a) you are not of legal age to form a binding contract, or (b) you are legally prohibited from receiving or using the Platform under the laws of your country of residence or the jurisdiction from which you access the Platform.

If you do not agree to be bound by these Terms of Use in their entirety, you may not access or use the CosmosFX.ai Platform.

3. Privacy Statement

Please refer to CosmosFX.ai's Privacy Policy, which explains how we collect, use, and disclose information pertaining to your privacy, available at: https://cosmosfx.ai/privacy-policy ("Privacy Policy"). The Privacy Policy forms an integral part of these Terms of Use. When you accept these Terms of Use, you also agree to the Privacy Policy.

4. License to Use

The license granted to you by CosmosFX.ai for the Platform is limited to a personal, non-exclusive, revocable, non-transferable, and non-sublicensable license to use the Platform solely for your personal use and receipt of the Services, in the manner permitted by these Terms of Use.

5. Upgrades

These Terms of Use will govern any upgrades provided by CosmosFX.ai that replace or supplement the original Platform, unless such upgrade is accompanied by a separate license, in which case that license will govern.

From time to time, an upgrade to the latest version of the Platform may be required to continue using the Services or to access new features and functionalities.

6. Definitions

For the purposes of these Terms of Use:

"Activation" means the activation of your User Account as specified in Section 8.1.

"Activation Date" means the date on which Activation occurred.

"Actual End Date" means the later of (i) three (3) business days after we receive your Termination Notice, or (ii) the end of the month in which we received your Termination Notice.

"Content" means any and all data and materials uploaded to the Platform by the User or on their behalf, including photographs, graphics, video, audio, brand assets, and any other information.

"Data Retrieval Period" means a period of thirty (30) days following the Actual End Date of your Subscription during which you may request and download your Content and any Deliverables associated with your User Account.

"Deliverable" means any and all outputs generated through use of the Services, including captions, carousels, posts, videos, stories, images, graphics, copy, or any other content produced by or through the Platform.

"External Sites" shall have the meaning specified in Section 16.

"Feedback" shall have the meaning specified in Section 21.

"Intellectual Property" and "Intellectual Property Rights" shall have the meanings specified in Section 15.8.

"Platform" means CosmosFX.ai's proprietary, online AI-powered social media marketing automation platform for automatically generating, scheduling, and publishing content to social media networks, as well as the Services provided thereby. The term "Platform" also includes the Site.

"Plan" shall have the meaning specified in Section 9.2.

"Restricted Person" means a person that is (i) listed on, or owned or controlled by a person listed on any Sanctions List; (ii) located in, incorporated under the laws of, or owned or controlled by, or acting on behalf of, a person in a country that is the target of country-wide Sanctions; or (iii) otherwise a target of Sanctions.

"Sanctioning Authority" means (a) the U.S. government or any U.S. agency (including OFAC, the U.S. State Department, the U.S. Department of Commerce, or the U.S. Department of the Treasury); (b) the United Nations Security Council; or (c) the European Union or any of its member states.

"Sanctions" means economic and/or financial sanctions or trade embargoes imposed, administered, or enforced by a Sanctioning Authority.

"Sanctions List" means any list of specially designated nationals or designated persons or entities issued by a Sanctioning Authority.

"Services" means all services provided via the CosmosFX.ai Platform, including but not limited to AI-powered social media content generation, content scheduling and publishing, brand voice configuration, analytics and performance reporting, social platform integrations, and any other features and functionalities supported by the Platform from time to time.

"Setup Fee" means a one-time fee that covers the initial costs of account configuration, onboarding, and establishing the technical infrastructure, as specified in Section 9.2.

"Site" means CosmosFX.ai's website accessible at https://cosmosfx.ai.

"Subscription" and "Subscription Fees" shall have the meanings specified in Section 9.2.

"Subscription Period" shall have the meaning specified in Section 9.5.

"Termination Notice" shall have the meaning specified in Section 9.6.

"Terms of Use" means these Terms of Use and CosmosFX.ai's Privacy Policy.

"User" means any person that uses the Site and/or or is registered to the Platform.

"User Account" shall have the meaning specified in Section 8.1.

7. Welcome to CosmosFX.ai

CosmosFX.ai provides the Services, which include content planning, AI-powered content creation, multi-platform publishing, brand voice management, scheduling, performance analytics, and integration with social media platforms — all as further detailed and subject to these Terms of Use.

8. Using the CosmosFX.ai Platform

8.1. Your CosmosFX.ai User Account

Our Services require you to open a user account ("User Account"). To do so, you must complete the registration form and provide a valid email address along with current, complete, and accurate information.

After submitting the completed registration form, we will send a confirmation to the email address you provided. You must complete the activation process to finalize your User Account.

Please add the following address to your email contact list: support@cosmosfx.ai.

CosmosFX.ai shall not be liable for any failed deliveries or messages arriving in your spam inbox. You may reset your password at any time.

You will provide CosmosFX.ai only with accurate information and shall not disclose your User Account credentials to others. CosmosFX.ai reserves the right to deny creation of, or terminate, any User Account based on an inability to verify the authenticity of registration information.

You are entirely responsible for all activities that occur under your User Account. You agree to notify CosmosFX.ai immediately of any unauthorized use of your User Account or any breach of security.

8.2. Content

The CosmosFX.ai Platform allows you to upload certain Content and permits CosmosFX.ai to access, create, modify, and process such Content in order to provide the Services.

Notwithstanding anything to the contrary herein, CosmosFX.ai reserves the right, without further notice, to modify, edit, and/or remove any Content to comply with applicable law or in other reasonable circumstances.

You acknowledge and agree that, in the provision of the Services, CosmosFX.ai uses third-party cloud-based computing systems and generative AI tools, and that your information (including personal data) may be processed, accessed, and/or stored using such systems.

CosmosFX.ai will not train its AI models on any personal data that is not publicly available.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize CosmosFX.ai to use the Content, including all Intellectual Property Rights therein.

You will retain all ownership rights in your Content. You hereby grant CosmosFX.ai a limited, worldwide, non-exclusive, royalty-free, non-sublicensable, and non-transferable license to use, modify, reproduce, and distribute the Content solely in connection with providing the Services and only for the term of your Subscription.

You shall be solely responsible for any Content and/or Deliverables created, modified, uploaded, or used through the Platform.

UNDER NO CIRCUMSTANCES WILL COSMOSFX.AI BE LIABLE IN ANY WAY FOR ANY CONTENT AND/OR DELIVERABLES, INCLUDING WITHOUT LIMITATION FOR ANY ERRORS OR OMISSIONS, ANY INFRINGEMENT OF THIRD PARTY RIGHTS, OR LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT AND/OR DELIVERABLES.

8.3. Communication

We may communicate with you electronically via the email address submitted during registration, regarding Platform updates or issues related to your User Account. By accepting these Terms of Use, you agree to receive emails and notifications from CosmosFX.ai. You may opt out of non-essential notifications using the 'unsubscribe' link in any email.

By providing your mobile number, you consent to receive SMS messages from CosmosFX.ai for account verification, login authentication codes, security alerts, and occasional marketing communications. You may opt out at any time by replying "STOP" to any message or by contacting our support team.

8.4. Technical Support

You may direct technical queries to us at: support@cosmosfx.ai. We will use reasonable commercial efforts to respond as promptly as possible.

9. Subscription

9.1. Plans

CosmosFX.ai offers subscription plans for individuals, teams, and enterprises. Plan details, including features and limitations, are set out in Section 9.2 and on the CosmosFX.ai pricing page at https://cosmosfx.ai/pricing.

An Enterprise Plan is available for users requiring customized terms and negotiated limitations.

9.2. Subscription Fees

To use the CosmosFX.ai Platform and access all its features, you are required to purchase a monthly or annual subscription ("Subscription") by paying the applicable subscription fees ("Subscription Fees") for the Plan selected. Current pricing is available on our pricing page at https://cosmosfx.ai/pricing.

Certain Plans may require a one-time, non-refundable Setup Fee covering initial account configuration, onboarding, and technical infrastructure. The Setup Fee is separate from recurring Subscription Fees and is not subject to refund upon termination.

9.3. Terms of Payment

Subscription Fees are charged on a monthly or annual recurring basis, in advance, at the price of the selected Plan. Subscriptions automatically renew unless terminated in accordance with these Terms of Use.

9.4. Means of Payment

Subscription Fees are processed via our payment processor. You are solely liable for paying the Subscription Fees, as well as any applicable taxes or fees. You are responsible for payment even if a charge is denied for any reason.

9.5. Subscription Period

THE SUBSCRIPTION PERIOD COMMENCES ON THE ACTIVATION DATE AND CONTINUES INDEFINITELY UNTIL TERMINATED UNDER THESE TERMS OF USE. UPON TERMINATION, YOUR ACCESS TO THE PLATFORM WILL END AND NO FURTHER CHARGES WILL ACCRUE.

9.6. Terminating the Subscription

YOU MAY TERMINATE YOUR SUBSCRIPTION AT ANY TIME AND FOR ANY REASON BY SUBMITTING A TERMINATION NOTICE THROUGH YOUR ACCOUNT SETTINGS OR BY CONTACTING SUPPORT@COSMOSFX.AI.

Actual End Date: Your Subscription and access to Platform features will end at the later of three (3) business days after we receive your Termination Notice, or the end of the month in which we received your Termination Notice.

Fee Refund — Monthly Subscription: If you have chosen a monthly Subscription, you will not be entitled to a refund of Subscription Fees already paid. However, if you send a Termination Notice within seven (7) days of a monthly payment and have not used the Platform during those seven days, you will be entitled to a full refund of that last payment.

Fee Refund — Annual Subscription: If you send a Termination Notice after the initial fourteen (14) day period, your refund will be calculated as follows: the total annual fee paid, minus the Setup Fee, minus the value of services used (calculated at the standard non-discounted monthly rate for each month or part thereof the Subscription was active). No refund will be issued if the value of services used at the standard monthly rate exceeds the annual fee paid.

Reactivation: To reactivate your Subscription, you may re-subscribe at any time. Your billing cycle will restart from the reactivation date.

THE ABOVE DOES NOT DEROGATE FROM ANY REFUND RIGHTS YOU MAY BE ENTITLED TO UNDER APPLICABLE STATUTORY CONSUMER LAWS IN YOUR JURISDICTION.

9.7. Data Portability and Retrieval Upon Termination

Upon termination of your Subscription, you will have thirty (30) days following the Actual End Date to request and download your Content and any Deliverables associated with your User Account ("Data Retrieval Period"). To initiate a data export, contact support@cosmosfx.ai during the Data Retrieval Period. We will make your Content and Deliverables available in a commonly used, machine-readable format. After the Data Retrieval Period, CosmosFX.ai may permanently delete all Content and Deliverables from our systems.

9.8. Measures in the Event of Non-Payment

In the event of non-payment within fourteen (14) days of the due date, your Subscription will be deemed delinquent, and we may terminate or suspend your User Account. You are liable for any fees, including legal and collection costs, incurred in our efforts to collect unpaid balances.

9.9. Changes to Subscription Fees

We reserve the right to change Subscription Fees at any time by posting thirty (30) days' prior notice on the Site and/or by sending you an email. Any change in Subscription Fees will not apply to a Subscription then currently in effect at the time of the change.

9.10. Statutory Consumer Rights

The provisions of this Section 9 are subject to, and do not derogate from, any mandatory statutory rights that may be afforded to you by applicable law in your jurisdiction.

10. Changes / Termination

10.1 CosmosFX.ai has the right to change the Platform (or any portions thereof) at any time in its sole discretion and without prior notice, including by adding or removing features, creating new limits on certain Services, or temporarily or permanently suspending a Service.

10.2 CosmosFX.ai may stop providing access to the Platform (or any features thereof) to you and/or to Users generally, at its sole discretion and at any time, without liability or notice.

10.3 If CosmosFX.ai permanently stops providing access to the Platform, these Terms of Use shall be terminated, except for provisions which by their nature survive termination.

10.4 CosmosFX.ai retains the right to create limits on use of the Platform at any time, without liability or notice.

11. Restrictions on Use of the Platform

11.1 You may not do, or attempt to do, any of the following while accessing or using the CosmosFX.ai Platform:

  • Use the Platform other than in compliance with these Terms of Use and all applicable laws and regulations;
  • Facilitate or encourage any violations of these Terms of Use;
  • Use the Platform for any unlawful purpose or to promote illegal activities;
  • Copy, reproduce, decompile, reverse engineer, disassemble, attempt to derive the source code of, adapt, modify, create derivative works from, sell, rent, lease, loan, frame, link, or otherwise exploit in any form all or any portion of the Platform and/or any Content or Deliverables;
  • Use any robot, spider, scraper, bot, data mining tool, or other automated or manual process to bypass access restrictions, monitor, copy, harvest, or manipulate any Content or Deliverables;
  • Circumvent, disable, or interfere with any security-related features of the Platform;
  • Remove or alter any copyright notices, trademark notices, or other proprietary markings;
  • Use the Platform to generate and/or distribute content that is harmful, threatening, abusive, harassing, defamatory, obscene, hateful, unlawful, false, misleading, or discriminatory, or that harms minors in any way;
  • Use the Platform to generate and/or distribute content directed at individuals under the age of 18;
  • Use the Platform to generate and/or distribute content containing, advertising, or promoting sexual content, pornography, graphic violence, alcohol, drugs, tobacco, gambling, or weapons;
  • Use the Platform to generate and/or distribute content that misappropriates, infringes, or violates any patent, trademark, trade secret, copyright, or other proprietary rights of any third party;
  • Post third-party copyrighted material or material subject to third-party proprietary rights without a valid license or permission from the rights holder;
  • Share other people's private or confidential information, such as credit card numbers, street addresses, or national identity numbers, without their express authorization;
  • Interfere with or disrupt the access of any person, host, or network, including by uploading viruses, malicious code, or other harmful files;
  • Use the Platform for unauthorized commercial communications, pyramid schemes, spam, or unsolicited promotions;
  • Do anything that could disable, overburden, or impair the proper working of the Platform; or
  • Collect or store personal data about other Users in connection with any prohibited conduct described in this section.

11.2 You expressly acknowledge and agree that your use of the Platform and Deliverables is at your sole risk. Prior to using, sharing, or relying on any Deliverable, you should subject it to professional review for accuracy and appropriateness.

11.3 You are solely responsible and liable for any breach of your obligations under these Terms of Use and for the consequences thereof. CosmosFX.ai has no responsibility to you or any third party for such breach.

11.4 Any use of the Platform contrary to these Terms of Use is a violation of our rights. If you breach these Terms of Use, you may be subject to prosecution and damages.

12. Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COSMOSFX.AI PLATFORM, THE SERVICES, AND THE DELIVERABLES ARE PROVIDED "AS IS," "AS AVAILABLE," "WITH ALL FAULTS," AND WITHOUT WARRANTY OF ANY KIND. COSMOSFX.AI HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE PLATFORM, THE SERVICES, AND THE DELIVERABLES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF COMPLETENESS, ACCURACY, QUALITY, RELIABILITY, AVAILABILITY, TIMELINESS, USEFULNESS, SECURITY, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

COSMOSFX.AI DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, THAT OPERATION OF THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM WILL BE FREE FROM CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSIONS.

Any material accessed, downloaded, or otherwise obtained through the use of the Platform is accessed at your own risk, and you will be solely responsible for any damage to your device or data that results from such access.

CosmosFX.ai makes no guarantee of confidentiality or privacy of any communication or information transmitted through use of the Platform. You understand that no data transmission over the Internet can be guaranteed to be completely secure.

Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights, so the above exclusions may not apply to you.

13. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL COSMOSFX.AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, LICENSORS, AND/OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION: (A) ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; (B) LOSS OF REVENUES, PROFITS, DATA, USE, OR GOODWILL, OR BUSINESS INTERRUPTION; (C) ANY OTHER LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND; AND/OR (D) ANY THIRD PARTY CLAIMS AGAINST YOU; IN EACH CASE ARISING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM, ANY ERRORS OR OMISSIONS IN ANY CONTENT OR DELIVERABLE, OR THE STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE PLATFORM; REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF COSMOSFX.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL LIABILITY OF COSMOSFX.AI TO YOU FOR ALL DAMAGES EXCEED THE TOTAL AGGREGATE AMOUNT PAID BY YOU TO COSMOSFX.AI AS SUBSCRIPTION FEES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (LESS AMOUNTS ALREADY PAID TO YOU FOR ANY PREVIOUS LIABILITIES).

Any cause of action by you with respect to the Platform must be instituted within one (1) year after the cause of action arose. Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the limitations above may not apply to you.

14. Indemnity

You will indemnify and hold CosmosFX.ai and its directors, officers, employees, partners, licensors, and agents harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to any claim brought against CosmosFX.ai by any Users or any third party due to or arising out of your use of the Platform, any Feedback you send us, your violation of these Terms of Use, and/or your violation of any rights of another party.

15. Ownership

15.1 You acknowledge that the CosmosFX.ai Platform as a whole constitutes an original work of authorship of CosmosFX.ai (and/or its licensors), and that all present and future rights, ownership, title, and interest in and to the Platform — including all related technology, databases, and Intellectual Property Rights — are, and shall remain at all times, the sole and exclusive property of CosmosFX.ai.

15.2 You are not granted any rights or licenses in or to the Platform other than as specifically set forth in these Terms of Use.

15.3 Any third-party trade or service marks present on or in Deliverables are the property of their respective owners and may not be removed or altered.

15.4 USE OF THE COSMOSFX.AI PLATFORM EXCEPT AS EXPRESSLY PERMITTED IN THESE TERMS OF USE IS STRICTLY PROHIBITED AND INFRINGES ON THE INTELLECTUAL PROPERTY RIGHTS OF COSMOSFX.AI AND/OR OTHERS, AND MAY SUBJECT YOU TO CIVIL AND CRIMINAL PENALTIES.

15.5 The "CosmosFX.ai" name, trademark, logos, domain names, and other brand features are trademarks or registered trademarks of CosmosFX.ai, protected by applicable law. Nothing in these Terms of Use grants you the right to use the CosmosFX.ai marks.

15.6 CosmosFX.ai reserves all rights not specifically granted to you under these Terms of Use.

15.7 Excluding any third-party marks and CosmosFX.ai IP embedded therein, you shall be the sole and exclusive owner of all Deliverables created through your use of the Platform, including all Intellectual Property Rights therein. You grant CosmosFX.ai a limited, worldwide, non-exclusive, royalty-free license to use the Deliverables solely in connection with providing the Services during the Subscription term.

15.8 For the purposes of these Terms of Use, "Intellectual Property" means all intellectual, moral, industrial, and proprietary property and rights recognized under any applicable law anywhere in the world, including patents, inventions, copyrights, trademarks, trade names, domain names, industrial designs, database rights, trade secrets, know-how, and all rights to confidential or proprietary information, and all derivative works and applications thereof. "Intellectual Property Rights" means all rights, title, and interest in and to any Intellectual Property.

16. External Sites & Integrations

The CosmosFX.ai Platform may enable access to certain third-party websites and platforms, including social media platforms (collectively, "External Sites"). CosmosFX.ai is not responsible or liable for the practices employed by External Sites, nor for the information or content contained therein.

When you use a link to go from the Platform to External Sites, these Terms of Use and our Privacy Policy are no longer in effect. Your interaction on any External Site is subject to that site's own rules and policies.

COSMOSFX.AI DOES NOT WARRANT OR ENDORSE ANY ADVERTISING, PRODUCTS, SERVICES, OR OTHER MATERIALS ON OR AVAILABLE FROM EXTERNAL SITES AND IS NOT LIABLE FOR ANY LOSS AND/OR DAMAGE INCURRED IN CONNECTION WITH ANY RELIANCE PLACED ON SUCH EXTERNAL SITES.

We reserve the right to change, suspend, remove, or disable your access to any External Services at any time without liability or notice.

17. Third-Party Acknowledgments

All third-party product names, trademarks, and logos referenced in connection with the CosmosFX.ai Platform are the property of their respective owners, including but not limited to:

  • 'Facebook' and 'Instagram' are trademarks of Meta Platforms, Inc.
  • 'LinkedIn' is a trademark of Microsoft Corporation.
  • 'TikTok' is a trademark of ByteDance Ltd.
  • 'X' (formerly Twitter) is a trademark of X Corp.
  • 'Google,' 'Google Analytics,' and 'YouTube' are trademarks of Google LLC.
  • 'Shopify' is a trademark of Shopify Inc.
  • 'Stripe' is a trademark of Stripe, Inc.

18. Termination

These Terms of Use shall be effective until terminated by you or by CosmosFX.ai. Without derogating from CosmosFX.ai's termination rights set out in Sections 9.6 and 10, CosmosFX.ai may, at its sole discretion and without notice, terminate these Terms of Use immediately if you fail to comply with any of the provisions herein.

Upon expiration or termination for any reason, provisions which by their nature continue beyond termination — including Sections 1–6, 8.2, 9.6, 11.2, 12, 13, 14, 15, and 18 through 27 — shall survive and continue to apply.

CosmosFX.ai shall not be liable to you or any third party for the expiration, termination, or suspension of your access to the Platform. Upon termination, you will cease all use of the Platform.

19. Restrictions on Linking or Framing the Site

You may not, without CosmosFX.ai's express prior written permission, (i) display ("frame") content of the Site within another website, or (ii) archive, cache, or mirror the Site or any portion thereof.

20. Marketing

You grant CosmosFX.ai permission to (i) identify your brand or company as a customer and use your logo/trademarks in our marketing materials (e.g., presentations, newsletters, website, landing pages), and (ii) develop case study materials based on your experience with our Services. Materials described in (ii) will only be published publicly with your written approval.

21. Unsolicited Feedback Submission Policy

You agree that any ideas, comments, proposals, suggestions, recommendations, feedback, or other input you provide to CosmosFX.ai (collectively, "Feedback") is entirely voluntary, and that CosmosFX.ai will be free to use any such Feedback without any obligation or compensation. CosmosFX.ai will have exclusive ownership of all rights to any Feedback, and you hereby irrevocably assign to CosmosFX.ai all rights therein. You are responsible for whatever material you submit, including its legality, reliability, appropriateness, originality, and copyright.

22. Unlawful Activity

We reserve the right to investigate reported violations of these Terms of Use and to take any action we deem appropriate, including reporting suspected unlawful activity to law enforcement or regulators and disclosing relevant information such as email addresses, usage history, IP addresses, and traffic information.

23. Export Regulations

You may not use or export the CosmosFX.ai Platform except as authorized by United States law and the laws of the jurisdiction in which the Platform is accessed. The Platform may not be exported or re-exported (a) into any country subject to U.S. embargo or trade sanction programs, or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Denied Persons List.

By using the Platform, you represent and warrant that you are not located in any country subject to a U.S. Government embargo, are not listed on any U.S. Government list of prohibited or restricted parties, and are not a Restricted Person.

24. Governing Law and Jurisdiction

These Terms of Use shall be governed and construed in accordance with the laws of the State of Florida, United States, without reference to its conflicts of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Both parties irrevocably submit to the exclusive jurisdiction of the competent courts of Miami-Dade County, Florida, to resolve any dispute arising out of or pursuant to these Terms of Use. Notwithstanding the above, CosmosFX.ai may take legal action against you in any jurisdiction.

Communications made to us by email will not constitute formal legal notice to CosmosFX.ai or any of its officers, employees, partners, licensors, or agents. We may send you notices by email, through the Platform, or by other reasonable means.

All communications between CosmosFX.ai and you will be in the English language only.

26. Changes to These Terms of Use

We may change these Terms of Use at any time without liability or notice. Any such change will be effective immediately as of the date it is posted on this page. Your continued use of the Platform after the effective date of any changes will constitute your acceptance of all such changes.

27. Miscellaneous

Headings and Interpretation. Section headings are for reference only and shall not be considered in the interpretation of these Terms of Use. Singular terms include the plural and vice versa. The words "include" and "including" will not be construed as terms of limitation.

Entire Agreement. These Terms of Use, together with CosmosFX.ai's Privacy Policy, contain the complete agreement between the parties and supersede any prior understandings, agreements, or representations relating to the subject matter hereof.

Severability. If any provision of these Terms of Use is held invalid or unenforceable by a competent court, that provision shall be construed or modified to eliminate the invalidity or unenforceability, and the remaining provisions shall remain in full force and effect.

Waiver. No waiver on the part of CosmosFX.ai of any right under these Terms of Use shall be effective unless in writing and signed by a duly authorized representative. No waiver of any past breach shall be deemed a waiver of any future breach.

No Partnership. Nothing in these Terms of Use shall be construed as creating a partnership, joint venture, agency, or other similar relationship between CosmosFX.ai and you.

Assignment. You may not assign or transfer any of your rights or obligations under these Terms of Use without prior written approval from CosmosFX.ai. Any purported assignment without consent shall be null and void. CosmosFX.ai may assign or transfer its rights and obligations under these Terms of Use to any third party without your consent or notice.

No Third-Party Beneficiaries. These Terms of Use do not create any obligation to any third parties, nor shall they be deemed to create any rights or causes of action on behalf of any third parties.
